Constitution of the Puget Sound Chapter, American Statistical Association |
Article I - Name
This organization shall be known as the Puget Sound Chapter of the American Statistical Association.
Article II - Purpose
The purpose of this organization shall be to foster in the broadest manner statistics and its applications, and to promote unity and effectiveness of effort among all groups in the Western Washington area having an interest in or being concerned with statistical problems.
Article III - Membership
The membership of this organization shall consist of two classes:
Article IV - Officers
The officers of the organization shall be President, Vice President, Secretary, Treasurer, Student Representative and Representative to the Association’s Council of Chapters. The President, Secretary, Treasurer and Chapter Representative shall be Full members. The Student Representative shall be a full-time student at a local college or university. All posts shall be held by different persons, except that the Chapter Representative may hold one other post. Nominations for the officers, except the Chapter Representative, shall be solicited in the announcement for the annual meeting and at the annual meeting. The election for the officers, except the Chapter Representative, will be by an e-mail and postal mail balloting of the Chapter members that will be completed within four weeks of the annual meeting. The Executive Committee shall fill any vacancy which may occur between the elections in the office. Terms shall be from one annual meeting to the next, except for the Chapter Representative.
Article V - Executive Committee
The Executive Committee shall consist of the officers mentioned in Article IV and the chairperson of each of the standing committees. Meetings of the Executive Committee shall be held whenever called by the President or requested by a majority of the Committee members.
Article VI - Chapter Representative
The Representative of the Council of Chapters shall be a Full member of the Chapter. The Representative shall be appointed by the Executive Committee. The Representative shall serve the Chapter for a period of up to three years following the pattern described by the Council of Chapters.
Article VII - Committees
The committees of the organization shall consist of such standing committees as may be appointed by the President. Chairs of the standing committees shall be appointed by the President. Members of committees shall be appointed by the President, in conjunction with the chair.
Article VIII - Meetings
There shall be four or more regular meetings per year, including an annual meeting, during which nominations for the election of officers will be solicited.

Article IX - National Constitution and By-Laws
Any and all provisions of the Constitution and By-Laws of the American Statistical Association shall be considered included herein for use where applicable and necessary.
Article X - Amendments
This Constitution may be amended by an affirmative 2/3 (two-thirds) vote of the chapter members at any meeting of this organization, provided notices of such meeting and the proposed amendment shall have been sent to each Full and Associate member at least two weeks before the date of the meeting in which the proposed amendment is to be voted upon; or by action of the Board of Directors of the American Statistical Association. (In the event of a mail ballot, the votes of members represented will be considered the same as the vote of a member voting at the meeting.)
Article XI - Dissolution
Upon dissolution of the Chapter, assets shall be distributed to the American Statistical Association, 1429 Duke Street, Alexandria, Virginia 22314 for one of more of the purposes within meaning of Section 501 (c) of the Internal Revenue Code of 1954, or corresponding section of any future Federal tax code.
